1. Acceptance of Terms
By accessing or using the RoseConnect website (roseconnect.co.uk) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
These terms apply to all visitors, users, clients, and others who access or use the website or services provided by RoseConnect, operated by Sunny ("we", "our", or "us").
2. Description of Services
RoseConnect provides the following services:
- Custom web development (websites, web applications, landing pages)
- IT support and computer repairs (hardware, software, virus removal, data recovery)
- Search engine optimisation (SEO) and online visibility management
- E-commerce solutions (eBay store management, Shopify, WooCommerce)
- Business automation and workflow optimisation
- Business growth consulting and online strategy
Specific service terms, deliverables, and timelines will be agreed upon individually for each project via written proposal or contract.
3. Engaging Our Services
3.1 Consultation
We offer free initial consultations to understand your needs and determine how we can best assist you. This does not constitute a binding agreement until a formal proposal is accepted.
3.2 Proposals & Quotes
All proposals and quotes are valid for 30 days from the date of issue. Prices are quoted in British Pounds (GBP) unless otherwise stated.
3.3 Acceptance
A project is considered confirmed when you have accepted our written proposal (via email, WhatsApp, or signed contract) and paid the required deposit (typically 50% for project-based work).
4. Pricing & Payment
4.1 One-Off Projects
For project-based work (e.g., website builds, repairs, automation setup):
- Deposit: 50% upfront upon project confirmation.
- Balance: 50% upon completion and before final delivery/launch.
- Payment is due within 14 days of invoice date.
4.2 Monthly Services
For ongoing services (e.g., SEO management, e-commerce management, IT support retainers):
- Billed monthly in advance on the 1st of each month.
- Payment is due within 7 days of invoice date.
- Cancellation: 30 days' written notice required. No lock-in contracts.
4.3 Late Payment
Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.4 VAT
All prices are exclusive of VAT unless stated otherwise. VAT will be added at the prevailing rate where applicable.
5. Project Delivery
5.1 Timelines
We provide estimated timelines for all projects. These are estimates based on our experience and current workload. Delays may occur due to factors outside our control (e.g., delayed content from client, third-party dependencies, scope changes).
5.2 Client Responsibilities
You agree to:
- Provide all necessary content, assets, and access to existing systems in a timely manner.
- Respond to requests for feedback and approvals within 5 business days.
- Provide accurate and complete information about your requirements.
- Ensure you have the legal right to use any content, images, or materials you provide.
5.3 Revisions
Website design projects include unlimited revisions during the design phase until you are satisfied with the visual direction. Once development begins, significant changes may incur additional charges.
5.4 Scope Changes
Any changes to the agreed project scope will be documented and may result in adjusted timelines and pricing. Both parties must agree to scope changes in writing.
6. Intellectual Property
6.1 Client Ownership
Upon full payment, you own the final deliverables (website design, content, code) created specifically for your project. We retain the right to reuse generic code libraries, frameworks, and tools developed independently of your project.
6.2 RoseConnect Ownership
We retain the right to display completed work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.
6.3 Third-Party Materials
Some projects may incorporate third-party libraries, themes, or plugins subject to their own licensing terms. We will inform you of any such materials and associated costs.
7. Warranties & Guarantees
7.1 Work Quality
We warrant that all services will be performed with reasonable skill and care, in accordance with industry standards.
7.2 Post-Launch Support
All website projects include 30 days of free support after launch, covering bug fixes and minor adjustments. This does not cover new features, content changes, or issues caused by third-party updates.
7.3 No Fix, No Fee
For IT support and repair services, if we are unable to resolve your issue, you will not be charged for the diagnostic attempt.
7.4 SEO Disclaimer
While we implement proven, ethical SEO strategies, we cannot guarantee specific search engine rankings. SEO results depend on many factors, including competition, algorithm changes, and industry trends, which are outside our control.
8. Limitation of Liability
To the maximum extent permitted by law, RoseConnect shall not be liable for:
- Any indirect, incidental, consequential, or punitive damages arising from our services.
- Loss of data, profits, revenue, business, or goodwill.
- Website downtime, hosting issues, or failures caused by third-party providers.
- Damage to hardware or devices not directly caused by our actions.
Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim in the 3 months preceding the claim.
9. Termination
Either party may terminate an ongoing service arrangement with 30 days' written notice. For project-based work:
- If you terminate mid-project, you will be billed for all work completed to date.
- Deposit payments are non-refundable once work has commenced.
- We reserve the right to terminate services if payment is overdue by more than 30 days.
10. Confidentiality
We treat all client information as confidential. We will not disclose your business information, strategies, financial data, or trade secrets to third parties without your consent, except where required by law.
11. Third-Party Services
Our services may involve interaction with third-party platforms (e.g., Google, eBay, Shopify, hosting providers). We are not responsible for the terms, policies, or performance of these third-party services. You are responsible for complying with their terms of service.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to Terms
We reserve the right to update these Terms at any time. Changes take effect immediately upon posting to this page. Your continued use of our services after changes constitutes acceptance of the revised terms.
